NOTICE OF SPECIAL GENERAL MEETING

AGENDA

1. Opening and Welcome
The Chair to open the meeting and welcome members.

2. Attendance and Apologies
Recording of members present, proxies received, and apologies.

3. Declaration of a Quorum
Confirmation that a quorum is present in accordance with the Club’s Constitution.

4. Business of the Meeting: Special Resolutions
The following resolutions are proposed as Special Resolutions. For a Special Resolution to pass, it must be carried by three-quarters (75%) of the members present and entitled to vote.

Special Resolution 1 – Acceptance of Asset and Liability Transfer

“That Wynnum Manly Yacht Club Inc resolves, as a special resolution, to accept the transfer of all assets and liabilities of Wynnum Manly Sailing Club Inc, subject to the execution of a Deed of Transfer and completion of due diligence.”

Special Resolution 2 – Assumption of Obligations

“That Wynnum Manly Yacht Club Inc agrees to assume responsibility for the liabilities and obligations of Wynnum Manly Sailing Club Inc upon completion of the transfer, in accordance with the terms of the Deed of Transfer.”

Special Resolution 3 – Admission of Members

“That Wynnum Manly Yacht Club Inc approves the admission of eligible members of Wynnum Manly Sailing Club Inc as sailing members of Wynnum Manly Yacht Club Inc, on such terms and in such membership categories as determined by the Management Committee.”

Special Resolution 4 – Constitutional Amendment

“That the existing constitution of Wynnum Manly Yacht Club Inc be rescinded and replaced in full with the draft July 2026 Constitution and By-Laws distributed with this notice.”

These changes are intended to:

·reflect the inclusion of sailing-related objects and activities; and

·reflect the change in make up of the Management Committee with inclusion of Sailing Group rather than Club

·create or amend membership categories to accommodate incoming members from Wynnum Manly Sailing Club Inc.

Special Resolution 5 – Authority to Execute Documents

“That the Management Committee of Wynnum Manly Yacht Club Inc be authorised to negotiate, finalise and execute all agreements and documents necessary to give effect to the transfer of assets and liabilities from Wynnum Manly Sailing Club Inc, including a Deed of Transfer.”
